Lessor. Discovery of a suspected site or resource shall be immediately brought to the <br />attention of Lessor and the State Archaeologist. <br />27. DEFAULT AND FORFEITURE — If for any reason Lessee fails to keep each and every <br />one of the covenants and conditions herein, and if such default continues for a period of <br />thirty (30) days after service of written notice thereof certified mail upon Lessee, Lessor <br />shall have the right to declare the Lessee in Default and undertake any and all necessary <br />legal actions as permitted under the terms of this Lease. <br />28. TAXES. Lessee shall be liable for all taxes lawfully assessed on property of Lessee located <br />on the Leased Premises. Lessor shall be liable for all real property taxes lawfully assessed <br />on the Leased Premises. <br />29. INSURANCE and BONDING. Lessee shall be insured and/or bonded as required by the <br />State of Colorado for the mining permit. <br />30. MISCELLANEOUS. <br />a. Time is of the essence for each term and provision of this Lease. <br />b. is Lease shall e binding upon and inure tote benefit of the parties hereto an <br />their respective heirs, personal representatives, successors and assigns provided, <br />however, that neither Party may assign this Lease without the prior written consent <br />of the other party, which consent shall not be unreasonably withheld. Nothing in <br />this Lease, express or implied, is intended to confer upon any other person than the <br />Parties hereto any rights, remedies, obligations, or liabilities. <br />c. This Lease was made in the State of Colorado, and shall be governed by, construed, <br />interpreted, and enforced in accordance with the laws of the State of Colorado. Any <br />suits, proceedings and other actions relating to, arising out of or in connection with <br />this Lease shall be submitted to the in personam jurisdiction of the courts of the <br />State of Colorado and venue for all such suits, proceedings and other actions shall <br />be in Alamosa County, Colorado. The Parties hereby waive any claim against or <br />objection to personam jurisdiction and venue in the courts of Alamosa County, <br />Colorado. <br />d. This Lease embodies the entire Lease and understanding between the parties and <br />supersedes all prior agreements and understandings relating subject matter hereof. <br />It may not be changed orally. <br />e. This Lease may not be amended or modified in any respect except by a writing <br />executed by the parties hereto. Any failure by any party to comply with any of its <br />obligations, agreements, covenants or indemnities contained in this Lease may be <br />waived in writing, but not in any other manner, by each party against which <br />enforcement of the waiver is sought. <br />f. Nothing contained herein. express or implied, is intended nor shall be construed to <br />confer or to give any person, firm, or corporation, other than the parties hereto, an,, <br />rights or remedies b,, reason of this Lease.
