THE DENVER BRICK COMPANY <br /> Access Agreement <br /> This Access Agreement ("Agreement") is entered into as of August 15, 2020 <br /> ("Effective Date") by and between Denver Brick Company ("Denver Brick") and <br /> Florence Pritchard("Pritchard"). <br /> Recitals <br /> A. Pritchard is the owner of that certain real property located in Elbert <br /> County, Colorado and more particularly described as follows: <br /> The southwest quarter of Section 10, Range 8 South, Township 62 <br /> West, 61 Prime Meridian, County of Elbert, State of Colorado (the <br /> "Property"). <br /> B. Denver Brick maintains and operates a mine located adjacent to the <br /> Property and has historically accessed the mine by use of a road through <br /> the Property. Denver Brick and Pritchard wish to continue Denver <br /> Brick's use of the access road through the Property subject to the terms <br /> and conditions stated herein. <br /> Now, for the consideration stated herein, the parties agree as follows: <br /> 1. The term ("Term") of this Agreement shall be for a period of five (5) <br /> years commencing on the Effective Date and ending August 31, 2025. <br /> 2. Denver Brick shall pay a fee ("Fee") to Pritchard, or her heirs, <br /> successors and assigns, for use of the access road as follows: <br /> On September 1, 2019, Denver Brick shall pay the amount of <br /> $3,156.31. <br /> On each successive September 1 thereafter during the Term, Denver <br /> Brick shall pay a three percent (3%) increase of the previous year's <br /> Fee. <br /> 3. This Agreement will be binding upon and insure to the benefit of the <br /> respective heirs, successors and assigns of the parties hereto. <br /> 4.
