Exhibit G-1 <br /> Executed Gravel Lease Pit Agreement <br /> dated March 11, 2021 <br /> GRAVEL PIT LEASE AGREEMENT <br /> This Gravel Pit Lease Agreement is made and entered into this Al L"�" day of <br /> , 2021, by and between the Owner(s): MIKE G. MALONE, whose address is <br /> 58008 County Road 23, Can, Colorado 80612, ("MALONE") and OAK CREEK <br /> CONSULTING AND PRODUCTION SERVICES, LLC, whose address is 9249 Eastman Park <br /> Drive, Unit B, Windsor, Colorado 80550 ("OAK CREEK"). <br /> MALONE for the consideration of one dollar ($10.00) and other good and valuable <br /> consideration enters into this agreement for the purpose of OAK CREEK purchasing, processing, <br /> producing,and removing such material located on MALONE'S land described as a portion of <br /> S2SW4 of Section 12 Township 10 North Range 67 West; <br /> Specifically located on Lot B in Weld County, Colorado wWa <br /> 58008 County Road 23, Carr, Colorado 80612 (the"Premises"). <br /> OAK CREEK shall pay MALONE a royalty fee of-:or materials removed <br /> from the Premises. Payment will be made to MALONE for removed materials within ninety(90) <br /> days of their removal, or within thirty (30) days after OAK CREEK receives payment for the <br /> materials,whichever is sooner. <br /> The terms of this Agreement shall commence on the day of execution of this Agreement <br /> and remain in force for a term of five (5) years. OAK CREEK has the option to renew this <br /> agreement for another like term and conditions as stated within this Agreement. <br /> OAK CREEK shall have the right to ingress and egress to and from the Premises on <br /> routes approved by MALONE and to erect temporary structures,such as screening and crushing, <br /> to stockpile material in an area of sufficient size, to store and use equipment and to employ any <br /> reasonable methods for the removal, processing and sales of said material. Colorado Mined <br /> Land Reclamation rules and regulations shall apply. <br /> Any State, County, or Municipal permits obtained by OAK CREEK for the purposes of <br /> this Agreement are the property of OAK CREEK. <br /> The royalty fees shall be renegotiated if this option is renewed. All materials will be <br /> weighed on certified scales at OAK CREEK'S expense. <br /> MALONE hereby warrants that he has good title to the above described premises, that he <br /> has lawful right to enter into this Agreement, and that he agrees to hold OAK CREEK harmless <br /> from any and all claims from others asserting any interest in the subject land. <br /> MALONE and OAK CREEK agree to indemnify one another against any and all claims <br /> save for gross negligence or willful misconduct. <br /> Page 1 of 2 <br />
