<br />Milestones
<br />The Debtors shall comply with the following chapter I I milestones, which Milestones may be
<br />extended in writing by the Required Lenders in their sole and absolute discretion:
<br />1. No later than one (1) calendar day after the Petition Date, the Debtors shall have filed
<br />with the Bankruptcy Court a motion seeking approval of the DIP Facility, and a motion
<br />seeking approval of bidding procedures, in each case in form and substance satisfactory
<br />to the Required Lenders;
<br />2. No later than three (3) calendar days after the Petition Date, the Bankruptcy Court shall
<br />have entered the Interim Order,
<br />3. No later than twenty-two (22) calendar days after the Petition Date, the Bankruptcy Court
<br />shall have entered the Final Order and an order approving the bidding procedures in form
<br />and substance satisfactory to the Required Lenders (the "Bidding Procedures');
<br />4. No later than August 21, 2020, the bid deadline shall occur in accordance with the
<br />Bidding Procedures;
<br />5. No later than August 31, 2020, the Debtors shall hold an auction, if required under the
<br />Bidding Procedures, for the sale of all or substantially all of their assets in accordance
<br />with the Bidding Procedures;
<br />6. No later than September 4, 2020, the Bankruptcy Court shall have entered the sale order
<br />in form and substance satisfactory to the Required Lenders (the "Sale Order');
<br />7. No later than September 10, 2020, the sale transaction(s) shall be consummated.
<br />The Debtors shall promptly provide the Agent with any information or materials rcasonably
<br />requested by the Agent in connection with the Debtors' progress on achieving any Milestones.
