This Court has jurisdiction to consider this Motion pursuant to 28 U.S.C. §§ 157 <br />and 1334 and the automatic reference of all bankruptcy cases to this Court pursuant to Amended <br />General Order 05-02 of the United States District Court for the Southern District of Ohio. <br />2. This is a core proceeding under 28 U.S.C. § l 57(b) and Foley's consent to entry of <br />a final order by the Court in connection with this Motion to the extent it is later determined that <br />the Court, absent consent of the parties, cannot enter final orders or judgments in connection <br />herewith consistent with Article III of the United States Constitution. <br />3. Venue is proper in this district pursuant to 28 U.S.C. §§ 1408 and 1409. <br />4. The bases for the relief requested herein are sections 327, 330, and 331 of title 11 <br />of the United States Code, (the `Bankruptcy Code'), Rule 2016 of the Federal Rules of Bankruptcy <br />Procedure (the `Bankruptcy Rules") and the Local Rules of the United States Bankruptcy Court <br />for the Southern District of Ohio (the "Local Rules") <br />Background <br />The Chapter 11 Cases and Foley's Retention by the Committee <br />5. On August 22, 2020 (the "Petition Date"), each of the Debtors filed a voluntary <br />petition for relief with the Court under chapter 11 of the Bankruptcy Code. <br />6. On July 30, 2020, the Office of the United States Trustee for Region 9 (the <br />"U.S. Trustee") appointed the Committee [Docket No. 128]. <br />7. On August 17, 2020, the Committee filed the Application for Order Authorizing <br />the Employment and Retention of Foley & Lardner LLP as Counsel to the Official Committee of <br />Unsecured Creditors Effective as of August 3, 2020 [Docket No. 256] ("Retention Application"). <br />4812-4378-2110.1 <br />
