<br /> ' SPECIAL WARRANTY DEED
<br /> This SPECIAL WARRANTY DEED ("Deed"), evidences a conveyance by CAMAS
<br /> COLORADO, INC., an Indiana Corporation ("Grantor"), whose address is 3605 South Teller
<br /> Street, Lakewood, Colorado 80235, to CITY OF WESTMINSTER ("Grantee"), whose address is
<br /> Water and Wastewater Enterprise, c/o Director of Public Works, 4800 West 92"d Avenue,
<br /> Westminster, Colorado 80030.
<br /> Grantor, for and in consideration of the sum of Ten Dollars and no/100s ($10.00) (the
<br /> "Purchase Price"), the receipt and sufficiency of which is hereby acknowledged, has granted,
<br /> bargained, sold and conveyed, and by these presents does grant, bargain, sell, convey and confirm
<br /> unto Grantee,its successors and assigns forever,all the real property located in the County of Weld,
<br /> State of Colorado, which is more particularly described on Exhibit A attached hereto and
<br /> incorporated herein by this reference,together with all interest of Grantor in all easements and other
<br /> appurtenances thereto, all improvements thereon and all attached fixtures thereon, and together with
<br /> any water or water rights appurtenant thereto except those water rights listed in Exhibit B attached
<br /> hereto and incorporated herein by reference (the "Property"); but excepting all mineral rights
<br /> including, without limitation, rights to sand, gravel, and heavy metals, which shall be reserved to
<br /> Grantor and including the previously reserved oil and gas interests which have been leased to an
<br /> operator, and excepting the leases and reservations described on Exhibit C attached hereto.
<br /> �J` Grantor's reservation of mineral interests shall include the right to the occupation and use of the
<br /> Property for the purpose of mining, extraction, and processing of sand and gravel and minerals
<br /> contained therein, the extraction of any related materials encountered in the course of sand and
<br /> gravel mining, and the normal and customary activities of Grantor, its employees and agents
<br /> associated therewith; and all the estate, right, title, interest, claim and demand whatsoever of the
<br /> Grantor,either in law or in equity, of, in and to the Property;
<br /> SUBJECT TO the matters shown on Exhibit D attached to this Deed and incorporated
<br /> herein by this reference(the "Permitted Exceptions).
<br /> TO HAVE AND TO HOLD the Property with the appurtenances unto Grantee, its heirs,
<br /> successors and assigns forever. And Grantor, for itself, its successors and assigns, does covenant
<br /> and agree that Grantor shall and will WARRANT AND FOREVER DEFEND the Property in the
<br /> quiet and peaceable possession of Grantee, its heirs, successors and assigns, against all and every
<br /> person or persons lawfully claiming or to claim the whole or any part thereof by, through, or under
<br /> Grantor, and not otherwise, except for the lien of general taxes and assessments for the current year
<br /> and all subsequent years,and except for the Permitted Exceptions.
