DBE Joint Ventures must be certified as a joint venture by the Principal <br /> Representative. The DBE percentage of the joint venture will be determined at the time of <br /> certification. <br /> 2.23 "DBE Program" means Principal Representative's "Disadvantaged Business Enterprise Program" <br /> which has been developed in accordance with 49 CFR Part 26 and approved by the appropriate <br /> federal government operating agency. <br /> 2.24 "DBE Provision" means CDOT's DBE provision located on CDOT's website at: <br /> https://www.codot.gov/business/civiIrights/dbe . <br /> 2.25 "Design Consultant" means either CDOT designated personnel or the legally approved professional <br /> Design Consultant, or group or association or professional corporation of such approved <br /> professional Design Consultants, engineers and consultants, who have contracted with the <br /> Principal Representative to accomplish Design Services necessary for the Project. <br /> 2.26 "Design Services" means architectural and engineering services provided by the Design Consultant <br /> and/or the Contractor. <br /> 2.27 "Direct Cost of the Work" means those items included in any Construction CAP which, pursuant to <br /> the Construction General Conditions, are directly related to construction and not otherwise defined <br /> under such Construction Phase. <br /> 2.28 "Dispute Resolution" means the process through which the Parties (Principal Representative and the <br /> Contractor) agree to resolve any issue related to this Agreement that may result in Disputes and <br /> Claims. <br /> 2.29 "Disputes and Claims" means all disputes and/or claims concerning contract price, time, payment, <br /> and/or interpretation of this Agreement. Disputes and Claims include, but are not limited to, any <br /> disagreement resulting from a delay, a Change Order, any Modification, another written order, or <br /> an oral order from the Principal Representative, including any direction, instruction, interpretation, <br /> or determination by the Principal Representative, interpretations of the Agreement provisions, <br /> Drawings, Plans, or Specifications or the existence of alleged differing site conditions. <br /> 2.30 "Drawings" means all Plans and Specifications approved by the Principal Representative which have <br /> been prepared by the Design Consultant showing the work for the Project to be performed. <br /> 2.31 "ESB" means any business certified by the Principal Representative to participate in the ESB <br /> Program that has not otherwise lost such certification due to graduation or revocation. <br /> 2.32 "ESB Program" means Principal Representative's "Emerging Small Business Program" which has <br /> been developed in accordance with 2 CCR 604-1 and approved by the State of Colorado <br /> Transportation Commission and is intended to provide assistance and increase opportunities for <br /> ESBs. <br /> 2.33 "Final Acceptance" or "Finally Complete" mean the stage in the progress of the Work for any LLTP <br /> Phase or Preconstruction Phase, after Substantial Completion, when all remaining items of Work <br /> for such phase have been completed, all requirements of the Contract Documents related to such <br /> phase are satisfied and the CDOT Acceptance Letter for such phase can be issued. Portions of <br /> the phase may be separately and partially deemed Finally Complete at the discretion of the <br /> Principal Representative when that portion of the phase reaches such stage of completion and a <br /> partial CDOT Acceptance Letter for such phase can be issued. <br /> Page 7 of 75 <br />
