REAL ESTATE LICENSE AGREEMENT <br /> This REAL ESTATE LICENSE AGREEMENT("License Agreement") is made as of the 9 <br /> day of October, 2020 ("Effective Date") by and between SHIDELEROSA LLLP, a Colorado <br /> Limited Partnership, having its principal office at 1411 County Road 316, Silt, CO 81652, <br /> United States("Licensor"),and SCOTT CONTRACTING,INC.,a Colorado corporation,having <br /> an office at 9200 E.Mineral Avenue,#400,Centennial,CO 80112("Licensee'). <br /> RECITALS <br /> WHEREAS, Licensor is the fee owner of the real property with Parcel#217908100527, <br /> located approximately one mile east of Mamm Creek Road on County Road 346 in the Town of <br /> Silt,Garfield County,Colorado("Property");and <br /> WHEREAS,the parties desire by this License Agreement to provide for the licensing by <br /> Licensor to Licensee of the right to use and occupy a 25 foot right of way, for installation of <br /> approximately 5,200 feet of 10" pipe, running from Licensee's neighboring property to the <br /> Colorado River, which shall be utilized for dewatering purposes, as more particularly described <br /> in Exhibit A attached hereto and made a part hereof("Licensed Area"). <br /> AGREEMENT <br /> NOW,THEREFORE, in consideration of the mutual covenants,terms,and conditions set <br /> forth herein,and for other good and valuable consideration,the receipt and sufficiency of which <br /> is hereby acknowledged,the parties agree as follows: <br /> 1. jib Licensor hereby grants to Licensee, and Licensee hereby accepts, a <br /> license("License")to use and occupy the Licensed Area for the purposes hereafter provided for <br /> the License Period (as defined in Section 2). The parties do not intend to create a lease or any <br /> other interest in real property for Licensee through this License Agreement,and the parties only <br /> intend to create a license that is revocable at will by either Licensor or Licensee as provided <br /> herein. Licensee has inspected the Licensed Area and agrees to accept the Licensed Area <br /> "AS-IS","WHERE-AS" and"WITH ALL FAULTS"on the Commencement Date. <br /> 2. Lice= Period. The "License Period" for the Licensed Area shall commence on <br /> October 1, 2020 ("Commencement Date") and subject to sooner termination as hereafter <br /> provided, shall expire ten years after the Commencement Date ("Expiration Date"). <br /> Notwithstanding the foregoing, this License Agreement shall be revocable by either party at any <br /> time during the License Period„ but only due to the other party's material breach of this License <br /> Agreement, and after providing sixty(60)days'written notice to the alleged breaching party and <br /> providing a reasonable opportunity to cure said breach. Only after the alleged breaching party <br /> receives notice and fails to cure the breach within a reasonable period of time may be <br /> non-breaching party terminate the License Agreement by sending a written termination notice. <br /> The termination notice shall state the date of termination and shall be sent in accordance with the <br /> notice requirements of this License Agreement. Either party's termination right is subject to no <br /> default existing under this License Agreement at the time the termination notice is sent and on <br /> Page I of 6 <br />
