MINERAL QUIT CLAIM DEED
<br /> THIS DEED made this 8th day of June, 2012, by and between GP Resources, LLC, a
<br /> corporation duly organized and existing under and by virtue of the laws of the State of Colorado,
<br /> and GP Aggregates, LLC a corporation duly organized and existing under and by virtue of the
<br /> laws of the State of Colorado Grantor(s), whose legal address is 7991 Shaffer Parkway Suite 200
<br /> Littleton, CO , County of Jefferson and GP Minerals, LLC, Grantee, whose legal address is
<br /> 7991 Shaffer Parkway Suite 200 Littleton, CO ,County of Jefferson.
<br /> WITNESSETH, that the Grantor(s), for and in consideration of the sum of TEN
<br /> DOLLARS ($10.00) AND OTHER GOOD AND VALUABLE CONSIDERATION,the receipt
<br /> and sufficiency of which is hereby acknowledged, have remised, released, sold, conveyed and
<br /> QUIT CLAIMED, and by these presents do remise, release, sell, convey and QUIT CLAIM unto
<br /> the Grantee, its successors and assigns forever, all right, title, interest, claim and demand which
<br /> the Grantor(s) have in and to the oil, gas and other minerals lying in, on or under, or which may
<br /> be produced from the following described lands:

<br /> located in Prowers County, Colorado
<br /> TO HAVE AND TO HOLD the same, together with all and singular the appurtenances
<br /> and privileges thereunto belonging or in anywise appertaining, and all the estate, right, title,
<br /> interest and claim whatsoever,of the Grantor(s), either in law or in equity, to the only proper use,
<br /> benefit and behoof of the Grantee, its successors and assigns forever. The singular number shall
<br /> include the plural, the plural the singular, and the use of any gender shall be applicable to all
<br /> genders.
<br /> IN WITNESS WHEREOF, the Grantor has caused its corporate name to be hereunto
<br /> subscribed by its President, and its corporate seal to be hereunto affixed,attested by its Secretary,
