Vegetation Area: Owner grants to P&M the exclusive right to use and occupy the tract of <br />land consisting of approximately 80 acres and depicted and described on Exhibit A (the <br />"Vegetation Area"). Prior to January 31, 2007 P&M shall identify up to four sites not to <br />exceed 2 acres, or such greater size as may be required by CDMG, each for the purpose of <br />vegetation control monitoring (the "Vegetation Sites") as required by the Permit. P&M shall <br />be permitted to access these sites utilizing the Road and any extension to the Road ("Road <br />Extensions") that may be necessary to conveniently access the Vegetation Sites. P&M shall <br />fence all Vegetation Sites in such a manner as to prevent access by livestock. <br />3. Owner's Rijzht of Access: P&M's rights to the Vegetation Area shall be exclusive rights <br />until either P&M identifies and fences the Vegetation Sites or January 31, 2007, whichever is <br />sooner. Owner shall not have the right to use the Vegetation Area for any purpose that would <br />adversely affect the vegetation; including without limitation, livestock grazing, pastureland <br />and hay land, except that Owner may use the Vegetation Area for hunting and fishing. P&M <br />shall notify Owner within 10 days of the completion of the fencing of the Vegetation Sites, at <br />which time, P&M's rights to the Vegetation Area, except the Road, Road Extensions and the <br />Vegetation Sites shall terminate. <br />4. Term and Termination. P&M's access rights to the Road and the Road Extensions and <br />P&M's exclusive rights to occupy the Vegetation Sites shall continue until P&M's <br />reclamation obligations with respect to the Permit are complete and the CDMG has fully <br />released the Permit. <br />5. Permit Modifications. Owner shall cooperate with P&M as may be reasonably necessary to <br />enable P&M to obtain permit renewals, permit modifications or other CDMG approvals as <br />may be necessary to enable P&M's compliance with the Permit and to obtain release of the <br />Permit. <br />Page 2 of 6 <br />
