July 2020 DE—RO01-19LM70255 <br /> of any approved Exploration Plans and Mining Plans and partial or supplementary plans,and the estimated costs of <br /> such reclamation. <br /> (c) The Lessee shall be liable to the Government for any and all damages resulting from the Lessee's <br /> failure to perform and/or complete any work or activities required under this Lease and upon the expiration, <br /> relinquishment,or cancellation of this Lease. <br /> XV. INSPECTION.DOE reserves the right,through its authorized representatives,employees,agents,and <br /> contractors,to access the Property and enter into all parts of any of Lessee's mines therein at all reasonable times for <br /> inspection and other purposes subject to the Lessee's standard operating procedures. <br /> XVI. HISTORIC CONDITIONS.The Lessee will negotiate in good faith with DOE to reach an agreement <br /> under which the Lessee,for appropriate compensation,would correct certain identified preexisting conditions <br /> existing on the Property as a result of pre-1974 mining activities and such other conditions that may be identified <br /> from time to time by DOE.If,for any reason,the Lessee is unable to perform the work required to remedy such <br /> conditions in a timely manner,DOE reserves the right to contract with another entity to enter the Property and <br /> perform said work. <br /> XVIL INDEMNIFICATION OF GOVERNMENT. <br /> (a) The Lessee shall indemnify and hold harmless the Government,including its employees,all tiers <br /> of contractors,agents,and authorized representatives,from and against any and all claims,losses,expenses,costs, <br /> judgments,and/or demands,including but not limited to reasonable attorney's fees,permits,licenses,any <br /> mechanics'or miners' liens or other liens,encumbrances and liabilities suffered or incurred by the Government <br /> caused by or arising from the Lessee's work,activities and operations under this Lease or occupancy of the <br /> Property. <br /> (b) The Lessee agrees to protect and indemnify the Government against any payroll taxes or <br /> contributions imposed with respect to any employee of the Lessee by any applicable law dealing with pensions, <br /> unemployment compensation,accident compensation,health insurance,and related subjects.The Lessee also <br /> agrees,at its own cost and expense,to insure each person employed in,about,or upon the Property with the <br /> compensation provided for by law with respect to workers'compensation and employer's liability insurance. <br /> Lessee shall also provide acceptable insurance coverage with a company that is authorized to do business in the <br /> state in which the Property is located that providing coverage for the Government, including its employees,all tiers <br /> of contractors,agents,and authorized representatives,against liability for injuries to persons,including injuries <br /> —8— <br />
