WV Mid Vol is a corporation that was organized on October 29, 2001 under the <br /> laws of the State of West Virginia and is in good standing. <br /> 2. Rockhouse is a limited liability company that was organized on August 8, 2007 <br /> under the laws of the State of Delaware. According to the website operated by the Delaware <br /> Division of Corporations, Rockhouse's Registered Agent in Delaware for service of process is <br /> Corporation Service Company, 251 Little Falls Drive, Wilmington, Delaware 19808. <br /> JURISDICTION AND VENUE <br /> 3. On July 22, 2020 (the "Petition Date"), Rockhouse filed with this Court a <br /> voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code, 11 U.S.C. <br /> § 101, et seq. (the "Code"), which commenced a bankruptcy proceeding styled as In re <br /> Rockhouse Land LLC, 1:20-bk-12067 (the "Rockhouse Bank-ruptcy Case"). <br /> 4. By the Order Pursuant to Rule 1015(b) of the Federal Rules of Bankruptcy <br /> Procedure Directing Joint Administration of the Debtors' Chapter 11 Cases [Related to Docket <br /> Nos. 4 and 30] (Doc. 41 in the above-captioned jointly administered Chapter 11 cases), the Court <br /> ordered that the Rockhouse Bankruptcy Case be consolidated, for procedural purposes only, and <br /> jointly administered with the Chapter 11 case of Hopedale Mining LLC, Case No. 1:20-bk-12043 <br /> (GRH). <br /> 5. The Court has jurisdiction over the Rockhouse Bankruptcy Case under 28 U.S.C. <br /> §§ 157(a), 28 U.S.C. § 1334(b) and General Order No. 50-02 dated October 24, 2005 of the <br /> United States District Court for the Southern District of Ohio, under which all cases filed in the <br /> Southern District of Ohio under the Code and all actions, matters or proceedings arising under <br /> 2 <br />
