Case 1:20-bk-12043 Doc 405 Filed 09/04/20 Entered 09/04/20 15:21:59 Desc Main <br />Document Page 2 of 4 <br />employment of Foley & Lardner LLP is necessary and in the best interest of the estates and their <br />creditors, that Foley & Lardner LLP does not hold or represent any entity having an interest <br />adverse to the interests of the Debtors' estates or of any class of creditors or equity security holders <br />and is a "disinterested person" as that term is defined in section 101(14) of the Bankruptcy Code; <br />and this Court having found that this is a core proceeding pursuant to 28 U.S.C. § 157(b)(2); and <br />that this Court may enter a final order consistent with Article III of the United States Constitution; <br />and this Court having found that venue of this proceeding and the Application in this district is <br />proper pursuant to 28 U.S.C. §§ 1408 and 1409; and this Court having found that the Debtors' <br />notice of the Application and opportunity for a hearing on the Application were appropriate under <br />the circumstances and no other notice need be provided; and this Court having determined that the <br />legal and factual bases set forth in the Application and the Goodman Declaration establish just <br />cause for the relief granted herein; and upon all of the proceedings had before this Court; and after <br />due deliberation and sufficient cause appearing therefor, it is HEREBY ORDERED THAT: <br />1. The Application is GRANTED as set forth in this Order. <br />2. The Official Committee of Unsecured Creditors is authorized to retain and employ <br />Foley & Lardner LLP as its counsel, effective as of August 3, 2020. <br />3. Foley & Lardner LLP shall file applications for allowance of compensation and <br />reimbursement of expenses pursuant to and in accordance with the procedures set forth in sections <br />330 and 331 of the Bankruptcy Code, such Bankruptcy Rules or Local Rules as may then be <br />applicable, the USTP Appendix B Guidelines for Reviewing Applications for Compensation and <br />Reimbursement of Expenses Filed Under United States Code by Attorneys in Larger Chapter 11 <br />Cases, and any other applicable orders and procedures of this Court. <br />4. Interim fee applications shall be filed at ]cast every 120 days from the date this <br />Order is entered until a final fee application is filed with this Court.
