3.5 Buyer to be responsible for payment of shipping charges actually incurred by Seller as <br />evidenced by copies of shipping invoices and receipts. <br />3.6 All references to currency or payments refer to United States Dollars and any payments to <br />Seller shall be made by check payable to "FGX SepTech, LLC" at the address above or <br />through wire transfer to Seller's bank account as follows: <br />Bank: JP Morgan Chase Bank <br />Account Name: FGX SepTech, LLC <br />Bank Routing Number: 083000137 <br />Account No.: 765990791 <br />4. ERECTION AND COMMISSIONING <br />4.1 Upon delivery of the Plant components at the Mine, Seller shall work with Buyer and <br />Buyer's contractor to erect and commission the Plant. Seller estimates 45-60 days for the <br />erection and commissioning work. <br />4.2 As part of the erection and commissioning work, Seller agrees to: <br />a. Provide direction and oversight to Buyer's contractors during erection of the Plant; <br />b. Provide training to Buyer's personnel on operation of the Plant during commissioning <br />and until such time as they can confidently operate the Plant. Specifically, Seller or <br />Seller's affiliated company agrees to provide One (1) or two (2) qualified and trained <br />technicians, at Seller's expense, to provide technical assistance for the erection and <br />commissioning. Such technicians shall be provided for no less than forty-five (45) days <br />and in all cases until at least the Operational Date; <br />c. Provide certain spare parts with delivery of the Plant should such parts be needed <br />during erection and commissioning; and <br />d. Comply with Buyer's policies and all MSHA and OSHA regulations while at the <br />Mine. <br />4.3 As part of the erection and commissioning, Buyer agrees to: <br />a. Provide a concrete pad to Seller's specifications, as outlined in Attachment E hereto <br />(at a location selected by Buyer); <br />b. Provide adequate power to the erection and commissioning site; <br />c. Provide a qualified mechanical contractor that employs at least 3 to 4 welders and 2 to <br />3 Iaborers to assist Seller in erecting the Plant. Seller estimates that the crew would be <br />needed for up to six (6) weeks; <br />3 <br />
