Relief Granted. The relief requested in the Sale Motion is granted as set forth <br /> herein. <br /> 2. Obeections Overruled. All objections and responses to the Sale Motion, this <br /> Order or the relief granted herein that have not been overruled, withdrawn, waived, settled, or <br /> otherwise resolved and all reservations of rights included therein, are hereby overruled and <br /> denied on their respective merits with prejudice. <br /> 3. Notice. Notice of the Sale Motion, including without limitation, the transactions <br /> set forth in the Stalking Horse Agreement and the assumption and assignment of the Assigned <br /> Contracts, the Auction, the Sale Hearing, and the Sale Transaction,was fair and reasonable under <br /> the circumstances and complied in all respects with sections 102(1), 363, and 365 of the <br /> Bankruptcy Code, Bankruptcy Rules 2002, 6004, 6006, 9006, and 9007 and Local Rule 6004-1 <br /> and the Procedures for Complex Chapter 11 Cases. <br /> 4. Approval of Stalking Horse Agreement. Pursuant to sections 105, 363, and 365 <br /> of the Bankruptcy Code, the Stalking Horse Agreement, and the Sale Transaction are hereby <br /> approved and authorized in all respects and shall be deemed in full force and effect. The Debtors <br /> are hereby authorized and empowered to enter into, and to perform their obligations under, the <br /> Stalking Horse Agreement and to execute and perfonn such agreements or documents and to <br /> take such other actions as are necessary or desirable to effectuate the terms of the Stalking Horse <br /> Agreement. <br /> 5. Good Faith Buver. The Stalking Horse Agreement has been entered into by the <br /> Debtors and the Buyer in good faith, and the Buyer is a good faith purchaser of the Assets and is <br /> hereby granted and is entitled to all of the protections provided to a good faith purchaser under <br /> section 363(m) of the Bankruptcy Code.
