This Court has subject matter jurisdiction over this Application pursuant to 28 <br /> U.S.C. § 1334. This is a core proceeding pursuant to 28 U.S.C. § 157(b)(2)(A). This Court can <br /> exercise subject matter jurisdiction pursuant to 28 U.S.C. § 157(b)(1). Venue of this proceeding <br /> and this Application is proper in this District pursuant to 28 U.S.C. §§ 1408 and 1409. <br /> 2. The statutory predicates for the relief sought herein are sections 327, 328, 330, <br /> 503(b), 504 and 507(a)(1) of the Bankruptcy Code and Bankruptcy Rule 2014. <br /> BACKGROUND <br /> 3. The Debtors commenced these chapter 11 cases (the "Chapter 11 Cases") by <br /> filing voluntary petitions for relief under chapter 11 of the Bankruptcy Code on July 22, 2020 (the <br /> "Petition Date"). Pursuant to sections 1107(a) and 1108 of the Bankruptcy Code, the Debtors are <br /> operating their businesses and managing their affairs as debtors-in-possession. <br /> 4. No request for the appointment of a trustee or examiner has been made in these <br /> Chapter 11 Cases and, as of the date of the filing of this Application, no official committees have <br /> been appointed or designated. <br /> 5. A full description of the Debtors'business operations, corporate structures, capital <br /> structures,and reasons for commencing these cases is set forth in full in the Declaration ofRichard <br /> A. Boone in Support of First Day Motions of Debtors and Debtors-in-Possession (Docket No. 3, <br /> the "Boone Declaration"), which is incorporated herein by reference. <br /> RELIEF REQUESTED <br /> 6. By this Application, the Debtors seek entry of a final order, substantially in the <br /> form attached hereto as Exhibit A, pursuant to sections 327, 328, 330, 503(b), 504 and 507(a)(1) <br /> of the Bankruptcy Code approving the retention of FTI as bankruptcy consultant (`Bankruptcy <br /> Consultant")for the Debtors during these chapter 11 cases nunc pro tunc to the Petition Date.The <br /> 2 <br />
