Bankruptcy Petitions. On July 22, 2020 (the "Petition Date"), each of the <br /> Debtors filed a voluntary petition for relief under chapter 11 of the Bankruptcy Code <br /> (collectively, the "Chapter 11 Cases"). The Debtors continue to operate their businesses and <br /> manage their properties as debtors-in-possession pursuant to sections 1107(a) and 1108 of the <br /> Bankruptcy Code. No trustee or examiner has been appointed in the Chapter 11 Cases. <br /> B. Jurisdiction and Venue. The Bankruptcy Court has jurisdiction over the Sale <br /> Motion and the Sale Transaction pursuant to 28 U.S.C. §§ 157 and 1334 and General Order 30-3 <br /> from the United States Bankruptcy Court for the Southern District of Ohio, dated December 4, <br /> 5 To the extent any of the following findings of fact constitute conclusions of law,they are adopted as such. To the <br /> extent any of the following conclusions of law constitute findings of fact,they are adopted as such.Furthermore,any <br /> findings of fact or conclusions of law made by the Court on the record at the close of the Sale Hearing are <br /> incorporated herein. <br />
