WTP is authorized without further order of the Court to apply amounts from the <br /> WTP retainer to compensate and reimburse WTP for fees and expenses incurred on or prior to the <br /> Petition Date consistent with the General Order. At the conclusion of WTP's engagement by the <br /> Debtors,if the amounts of any WTP retainer exceeds the amount of then-outstanding and estimated <br /> fees, expenses, and costs, WTP will pay to the Debtors the amount by which the WTP retainer <br /> exceeds such fees, expenses, and costs, in each case consistent with its ordinary course billing <br /> practices. All retainers shall be held in a client-trust account and any unearned retainers shall be <br /> returned to the Debtors at the conclusion of these Chapter 11 Cases. <br /> 5. WTP shall provide 10 business days' notice to the Debtors, the U.S. Trustee, and <br /> any official committee appointed in these Chapter 11 Cases before any increases in the rate set <br /> forth in the Application are implemented and shall file such notice with the Court. The U.S. <br /> Trustee and said committee(s) retain all rights to object to any rate increase on all grounds, <br /> including,without limitation,the reasonableness standard set forth in Bankruptcy Code § 330, and <br /> the Court retains the right to review any rate increase. <br /> 6. The Debtors and WTP are authorized and empowered to take such actions as may <br /> be necessary and appropriate to implement the terms of this Order. <br /> 7. To the extent the Application or the Roeschenthaler Declaration are inconsistent <br /> with this Order, this Order shall govern. <br /> 8. The terms and conditions of this Order shall be immediately effective and <br /> enforceable upon its entry <br /> 4 <br />
