FBT is well qualified and uniquely able to represent the Debtors effectively and <br /> efficiently in these Chapter I Cases. The resources, capabilities and experience of FBT in <br /> advising the Debtors are crucial to the Debtors' interests in these Chapter 11 Cases. FBT has the <br /> necessary background and resources to deal effectively with the full range of potential legal issues <br /> and problems that may arise in the context of these Chapter 11 Cases. As a Member of FBT, I, <br /> along with my colleagues in FBT's Bankruptcy and Restructuring Practice Group, will coordinate <br /> the representation of the Debtors in these Chapter 11 Cases for FBT. <br /> SERVICES TO BE RENDERED <br /> 3. Subject to this Court's approval of the Application, FBT is willing to serve as <br /> bankruptcy counsel for the Debtors in these Chapter 11 Cases and to perform the following <br /> services for the Debtors: <br /> a. advising the Debtors with respect to their powers and duties as debtors and <br /> debtors-in-possession in the continued management and operation of their <br /> business and property; <br /> b. attending meetings and negotiating with representatives of creditors and other <br /> parties in interest and advising and consulting on the conduct of these Chapter <br /> 11 Cases, including all of the legal and administrative requirements of operating <br /> in chapter 11; <br /> c. taking all necessary action to protect and preserve the Debtors' assets,including <br /> the prosecution of actions on behalf of the Debtors' estates, the defense of any <br /> actions commenced against the Debtors' estates, negotiations concerning <br /> litigation in which the Debtors may be involved, and objections to claims filed <br /> against the Debtors' estates; <br /> d. preparing motions, applications answers, orders, reports, papers and other <br /> pleadings necessary to administer the Debtors' estates and assist the Debtors <br /> with operating in chapter 11; <br /> 2 <br />
