The resources, capabilities, and experience of EVA in advising debtors will be of <br /> significant assistance to the Debtors during the course of the chapter I 1 cases. A sale advisor with <br /> a deep bench of experience, such as EVA, fulfills a critical need that complements the services <br /> offered by the Debtors' other restructuring professionals. As the Debtors work to negotiate and <br /> finalize the terms of a plan of reorganization and confirm the plan of reorganization, the Debtors <br /> will benefit from the services of a capable and experienced sale advisor such as EVA. <br /> 6. Since the execution of the Engagement Letter, EVA has acquired <br /> knowledge of the Debtors and their businesses and has become acquainted with the Debtors' <br /> financial affairs, debt structure, business operations, capital structure, key stakeholders, financing <br /> documents, and related matters. EVA has reviewed the Debtors' data room, developed a list of <br /> contacts to market the Debtors' asset, and prepared marketing materials. Additionally, EVA has <br /> deep coal industry experience, insights, and relationships from its leading coal industry practice. <br /> Accordingly, EVA has significant relevant experience and expertise regarding the Debtors' <br /> business that uniquely positions EVA to provide effective and efficient sale advisory services to <br /> the Debtors in these chapter 11 cases. <br /> 7. If the Application is approved, EVA's personnel, all with substantial expertise in <br /> the areas discussed above, will continue to provide services to the Debtors. Such personnel will <br /> work closely with the Debtors' management and other professionals throughout the reorganization <br /> process.
