January 13, 2020 Title Company of the Rockies 78491 U.S. Highway 40 Box 415 Winter Park, Colorado 80482 Attn: Charlotte Grewel Re: Westcor Land Title Insurance Company File#0302284 Instruction for Disbursement of Funds and Documents Dear Ms. Grewel: Reference is made to that certain Escrow Agreement dated December 24, 2019 (the "Escrow Agreement"), by and among by and among TODD HAMMERLUND and AMANDA HAMMERLUND (the "Hammerlunds"), GRANBY SAND & GRAVEL, LLC, a Colorado limited liability company ("GSG"), ATH SPECIALTIES & SALES, INC., a Minnesota corporation("ATH," the Hammerlunds, GSG, and ATH being collectively referred to herein as "Seller"), ESCO SAND & GRAVEL LLC, a Colorado limited liability company ("ESG"), ESCO CONSTRUCTION CO., a Colorado corporation ("ECC," ECC and GSG being together herein referred to as "Purchaser"), and WESTCOR LAND TITLE INSURANCE COMPANY ("Escrow Agent"). This letter shall constitute the Closing Authorization notice (defined in the Escrow Agreement)pursuant to which Seller and Purchaser instruct Escrow Agent to take certain actions contemplated in the Escrow Agreement. Capitalized terms not defined in this letter will have the definitions set forth in the Escrow Agreement. Seller and Purchaser hereby notify the Escrow Agent that the conditions set forth in Section 1.2 (sic) of the Escrow Agreement have been satisfied. We further hereby instruct the Escrow Agent to confirm that all conditions set forth Section 2.1 have been satisfied. If and only if Escrow Agent has determined that all conditions set forth Section 2.1 have been satisfied, we hereby instruct the Escrow Agent to disburse the Proceeds, record the Deed, Quitclaim Deed and Lease Memorandum,and issue the Policy,all as described in Section 2.1 (sic)of the Escrow Agreement. You are further instructed to notify the undersigned if you cannot comply with these instructions and await further direction. [SIGNATURE PAGES FOLLOW]
