<br /> SPECIAL WARRANTY DEED
<br /> THIS SPECIAL WARRANTY DEED dated April 5_ 2019 between Sustainable Water
<br /> Resources, LLC, Grantor, and Kiana Holdings II, LLC, whose address is 3450 Big Bear Drive, Sedalia,
<br /> Colorado 80135, Grantee.
<br /> WITNESS,that the Grantor, for and in consideration of good and valuable consideration the receipt
<br /> and sufficiency of which is hereby acknowledged, has granted, bargained, sold and conveyed, and by
<br /> these presents does grant, bargain, sell convey and confirm unto the Grantee, its heirs and assigns
<br /> forever, any and all of Grantor's water and water rights, together with all appurtenances, fixtures,
<br /> infrastructure and improvements lying and being in the County of Saguache and State of Colorado,
<br /> including but not limited to as described as follows:
<br /> See attached EXHIBITS A (Cotton Creek Ranch), B (Cherry Creek Ranch), C (Barsch &
<br /> Miller Ranch), and D(Nye Ranch)—Collectively, (the"Water Rights").
<br /> TOGETHER,with all and singular the hereditaments and appurtenances thereunto belonging, or in
<br /> anywise appertaining, the reversion and reversions, remainder and remainders, rents, issues and profits
<br /> thereof, and all the estate, right, title, interest, claim and demand whatsoever of the Grantor, either in law
<br /> or equity, of, in and to the above Water Rights, with the hereditaments and appurtenances; warranted by
<br /> Grantor to be owned by Grantor free and clear of any and all encumbrances and liens created by, through
<br /> or under Grantor, but not otherwise.
<br /> TO HAVE AND TO HOLD the said Water Rights above bargained and described, with the
<br /> appurtenances, unto the Grantee, its heirs and assigns forever. The Grantor, for itself, its heirs, personal
<br /> representatives, successors and assigns does covenant and agree that it shall and will WARRANT AND
<br /> FOREVER DEFEND the above bargained Water Rights in the quiet and peaceable possession of the
<br /> Grantee, its heirs and assigns, against all and every person or persons claiming
<br /> the whole or any part thereof, by, through or under the Grantor, but not otherwise.
<br /> IN WITNESS WHEREOF, the Grantor has executed this Special Warranty Deed on the date set
<br /> forth above.
