VISITOR'S LICENSE AGREEMENT <br /> THIS AGREEMENT, made and entered into this 24`h day of September, 2019, between LA PLATA COUNTY <br /> LAND, LLC / SUNRISE MINING, LLC,(hereinafter referred to as"SUNRISE") and WILDCAT MINING <br /> CORPORATION, (hereinafter referred to as"Licensee"); <br /> The parties agree as follows: <br /> 1. GRANT OF PERMISSION. In consideration of Licensee's promises herein, SUNRISE hereby gives <br /> permission, revocable and terminable as hereinafter provided, to Licensee to enter on the land owned or <br /> controlled by SUNRISE described below for the purpose of: <br /> a. Removal of the ball mill, 95kW generator,and old office trailer according to the technical <br /> revision submitted to the Colorado Division of Reclamation, Mining,& Safety ("CI)RMS"). <br /> i. Permission is dependent upon the CORMS and La Plata County providing written <br /> approval of the technical revision and proposed dates. <br /> ii. Permission is dependent upon reasonable weather conditions for the proposed dates. <br /> b. No other permission is granted <br /> All on the terms and conditions herein set forth which Licensee promises to comply and abide with. <br /> 2. DESCRIPTION OF PROPERTY. The property owned or controlled by SUNRISE that Licensee if <br /> hereby permitted to enter is described as follows: <br /> a. (Mine or Mine Development area known as:) May Day Idaho Mine Complex <br /> (hereinafter sometimes referred to as"the premises") <br /> 3. TERM OF GRANT. The permission granted hereunder shall be effective 10/11/2019- 10/14/2019 <br /> unless terminated earlier as provided in paragraph 11 of this Agreement. <br /> 4. CONDITION OF THE PREMISES. Licensee knows that the lands involved include active mining areas <br /> with rough and unstable surface, loose rock and soil,open pits and shafts,active haulage routes,blasting <br /> and subsidence areas,and areas of operations for heavy equipment,or include mined areas with similar <br /> conditions, or may include ponds and other waters of irregular shore and bottom,where hazardous <br /> objects may have been placed without knowledge of either party. SUNRISE has not maintained or <br /> prepared the land for the purposes of the Licensee,and cannot examine the land or give warning of its <br /> conditions,or of the conduct of other persons, to the Licensee. Therefore, SUNRISE does not warrant or <br /> represent that the premises are safe, healthful, or suitable for the purposes for which they are permitted <br /> to be used under the terms of this license and makes no representation as to the condition of the <br /> premises, or the conduct of others on the land, except that it may be unsafe for the purposes of the <br /> Licensee. Licensee by this agreement is informed and understands that SUNRISE would be exposed to <br /> legal liability and cost of an unknown amount in order to extend this use of its land and would not allow <br /> this usage without the relief of liability, waiver of claims and compliance with conditions of this <br />
