The provisions of this Section 7 shall survive the expiration or early <br /> termination of this Agreement <br /> 8. Assignment.Neither Party may assign or transfer this Agreement, in whole or in <br /> part, without the prior written consent of the other party. Notwithstanding the foregoing, either <br /> party may assign this Agreement,in whole or in part,without the consent of the other party to any <br /> entity (a) in which it has an ownership interest; (b) with which it is affiliated; (c) with which it <br /> may merge or consolidate;(d)which is a parent or subsidiary;or(e)which is a successor to a party <br /> in the event of a reorganization,provided that any assignee assumes, in full,the obligations of the <br /> assigning party under this Agreement. <br /> 9. Jurisdiction and Venue.This Agreement shall be construed pursuant to the laws of <br /> the State of Colorado.Venue shall be proper in Montrose County,Colorado. <br /> 10. Entire Agreement This document, which shall be enforced in accordance with <br /> Colorado law, represents the full understanding between Owner and Operator, and shall not be <br /> amended unless in a separate writing executed by the parties hereto. <br /> 11. Insurance. Operator agrees,at its sole cost and expense,to obtain and maintain at <br /> all times during the term of this Agreement,a policy or policies of comprehensive general liability <br /> insurance with limits of coverage of not less than $1,000,000.00 for injuries, damages or losses <br /> sustained by any one person in any one accident or event, and not less than $2,000,000.00 for <br /> injuries,damages or losses incurred by two or more persons in any one accident or event. Owner <br /> and Blue Dog Hemp Company, LLC, shall be named as additional insureds on all such policies <br /> and Operator shall furnish the Owner and Blue Dog Hemp Company,LLC with a copy of such <br /> policy or policies prior to the Effective Date. <br /> 12. Breach and Attorney's Fees.In the event of any breach of any covenant or condition <br /> of this Agreement, either party may sue to enforce the Agreement or recover damages for such <br /> breach. In the event of any legal action available to either party, the prevailing party shall be <br /> entitled to recover from the non-prevailing party all costs and expenses related to such action, <br /> including reasonable attorneys' fees and costs. <br /> 13. Waiver.The failure of either party to exercise any of its rights under this Agreement <br /> shall not be a waiver of those rights. <br /> 14. Severability. If any provision of this Agreement shall be held to be invalid or <br /> unenforceable,the validity and enforceability of the remaining provisions of this Agreement shall <br /> not be affected thereby. <br /> 15. Notices. All notices,requests, demands, claims, or other communications shall be <br /> given in writing. Any notice, request,demand,claim or other communication hereunder shall be <br />
