LEASE <br /> EZ Enterprises, LLC, ("EZ")of 23625 Uncompahgre Road, Montrose, CO 81403 as Lessor and <br /> Cornerstone Materials,LLC,("Cornerstone")of 23625 Uncompahgre Road,Montrose,CO 81403 <br /> as Lessee, in consideration of the covenants, conditions and agreements set forth herein, the <br /> sufficiency of which is hereby recognized agree to the following. <br /> I. The Property: <br /> EZ Enterprises, LLC owns and herby agrees to lease to Cornerstone, approximately 106 acres of <br /> property more particularly described on Exhibit A which is incorporated herein by this reference. <br /> The "Property". <br /> II. Term of Lease: <br /> a. Primary Term: The initial term of this lease shall be for a period of five years <br /> commencing on April loth, 2019 and terminating on April 9th, 2024 unless <br /> terminated sooner under the terms set forth herein. <br /> b. Option to Renew: Cornerstone shall have five(5)options to renew this lease. Each <br /> option shall be a renewal for five(5)additional years. In order to properly exercise <br /> any Option, Cornerstone shall provide written notice to EZ Enterprises, LLC no <br /> more than 180 days but no less than sixty days prior to the end of the then current <br /> lease,or option period. Said renewal or exercise of option shall only be valid if the <br /> notice is absolute in nature and contains no conditions or contingencies on the <br /> renewal. <br /> III. Payment of Rent: <br /> a. Base Rental Payment: Cornerstone shall pay EZ Enterprises, LLC,NMper ton <br /> of aggregate product or material of any type which is shipped or trucked from the <br /> Property during the previous three months. This payment shall be made to EZ <br /> Enterprises, LLC on every type and form of material which is shipped from the <br /> Property regardless of the origin of the material, who shipped the material, who <br /> paid or did not pay for the material and/or the form the material is in at the time of <br /> shipment (i.e. crushed, washed, concrete, asphalt, road base, etc. . . ). Said rental <br /> payment shall be made by Cornerstone on a quarterly basis every April 1, July 1, <br /> October 1 and January 1. <br /> b. Additional Rental PaM ent: Cornerstone shall pay EZ Enterprises, LLC, an <br /> additional rental payment of at least der ton of aggregate product or material <br /> of any type which is shipped or trucked from the Property during the previous three <br /> months until such time as Cornerstone has paid EZ Enterprises, LLC a total of <br /> in additional rental payment. This payment shall be made <br /> to EZ Enterprises, LLC on every type and form of material which is shipped from <br /> the Property regardless of the origin of the material,who shipped the material,who <br /> paid for the material and/or the form of the material, is in at the time of shipment. <br /> The additional rental payment shall be made by Cornerstone on a quarterly basis <br /> 1 <br />
