AGREEMENT FOR PLUGGING AND ABANDONMENT OF OIL AND GAS WELL THIS AGREEMENT FOR PLUGGING AND ABANDONMENT OF OIL AND GAS WELL is made thisAF!4day of September, 2018, by and between Journey Ventures, LLC whose address is PO Box 129, Greeley, Colorado 80632 (hereinafter "Journey"), and PDC Energy, Inc. whose address is 1775 Sherman Street, Suite 3000, Denver, Colorado, 80203 (hereinafter"PDC"). Journey and PDC may be referred to in this Agreement as a"Party" or collectively as the"Parties." RECITALS WHEREAS,Journey is the current surface owner of the following described lands: Township 5 North, Range 64 West, 6th P.M. Section 7: SE/4 Tax Parcel Number: 096307400004 Weld County, Colorado(hereinafter the"Subject Lands"); WHEREAS, PDC is the owner and operator of the following oil and gas well (hereinafter the"Well") situated on the Subject Lands: Well - API No. S ud Surface Location Motis 1 API#05-123- 08/02/1984 NESE of Sec. 7, 11891 T5N R64W WHEREAS, the Well is capable of producing but is currently shut-in; WHEREAS, Journey desires to have the Well permanently taken out of production and plugged and abandoned to allow for development of the surface of the Subject Lands; and WHEREAS, PDC desires to plug and abandon the Well in accordance with the terms and conditions set forth in this Agreement. NOW THEREFORE, in consideration of the foregoing premises and the mutual covenants and agreements herein stated, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the Parties hereto agree as follows: 1.
