SPECIAL WARRANTY DEED
<br /> THIS DEED, dated as of the 16th of April, 2010,is between Koinonia, LLC, a Colorado
<br /> limited liability company (the "Grantor"), and Boot3ack Ranch, LLC, a Colorado limited
<br /> liability company("Grantee"),whose legal address is 3738 Oak Lawn Ave., Dallas,TX 75219.
<br /> WITNESS,that Grantor, for and in consideration of the sum of Ten Dollars ($10.00), the
<br /> receipt and sufficiency of which is hereby acknowledged, has granted, bargained, sold and
<br /> conveyed, and by these presents does grant, bargain, sell, convey and confirm unto Grantee, its
<br /> successors and assigns forever, all the real property, together with improvements, if any, situate,
<br /> lying and being in the County of Mineral and State of Colorado,described on Exhibit A attached
<br /> hereto and incorporated herein by this reference(the "Pro a
<br /> TOGETHER with all and singular the hereditaments and appurtenances thereunto
<br /> belonging, or in anywise appertaining, the reversion and reversions, remainder and remainders,
<br /> rents, issues and profits thereof, and all the estate, right, title, interest, claim and demand
<br /> whatsoever of Grantor, either in law or equity, of, in and to the Property, with the hereditaments
<br /> and appurtenances.
<br /> TO HAVE AND TO HOLD the Property above bargained and described, with the
<br /> appurtenances, unto Grantee, its successors and assigns forever. Grantor does hereby covenant
<br /> and agree that it shall and will WARRANT AND FOREVER DEFEND the Property in the quiet
<br /> and peaceable possession of Grantee, its successors and assigns, against all and every person or
<br /> persons claiming the whole or any part thereof,by,through or under Grantor, except and subject
<br /> to those matters set forth on Exhibit B attached hereto and incorporated herein by this reference.
