AA I tj(1-7 I � <br /> LICENSE <br /> TSL-3586-180111 <br /> THIS LICENSE is dated January 15,2019 between TRI-STATE GENERATION AND <br /> TRANSMISSION ASSOCIATION, INC.,a Colorado cooperative corporation with offices at 1100 <br /> West 116'Avenue,Westminster,Colorado,80234("Licensor"or"Tri-State")and ALL RITE <br /> PAVING AND REDI MIX, INC.,a Colorado Corporation with offices at 839 Mackenzie Ave, <br /> Canon City,CO 81212 ("Licensee"). <br /> WHEREAS,Licensor owns two electric transmission line easements in Sections 13 and 24, <br /> Township 22 South,Range 58 West of the 6'P.M.,as more particularly described in Book 201, <br /> Page 472 at Reception No. 129195,and Book 202, Page 235,Reception No. 129372, <br /> respectively,both recorded in Crowley County, State of Colorado as shown on the attached Exhibit <br /> A(collectively the"Easement"); and <br /> WHEREAS,Licensee has requested permission to construct,operate,maintain and repair <br /> an existing gravel mining operations around structures 429-436 of Tri-State's Boone to La Junta <br /> transmission line,which will require the use of a 980 Cat Loader and a D8 Dozer(the"Activities") <br /> NOW THEREFORE,in consideration of the sum of One Dollar($1.00),the receipt of <br /> which is hereby acknowledged,Licensor grants to Licensee a license(the"License")to conduct the <br /> Activities within and around the Easement as described on the attached Exhibit B,subject to the <br /> following terms and conditions: <br /> l. Licensee,its employees,contractors and agents may use the License for the purpose of <br /> crossing the Easement area to conduct the Activities in accordance with this License and for <br /> no other purpose. Licensee may not assign or sublet the License or its rights under it to any <br /> third party- <br /> 2. No future change of the planned Activities as shown on Exhibit B or related drawings will <br /> be made by Licensee without Licensor's prior written approval. Licensee shall mail any <br /> proposed revisions to Exhibit B to Licensor's Transmission Land Rights and Permitting <br /> Department,P.O.Box 33695,Denver,Colorado 80233. <br /> 3. Licensee understands and agrees that the License merely allows permission for Licensee to <br /> cross the Easement area conduct the Activities in accordance with this License;however, <br /> Licensee will remain responsible for obtaining or maintaining appropriate land rights to the <br /> subject property that give Licensee the right to conduct the Activities. In addition,Licensee <br /> agrees not to violate the terms of the Easement,except to the extent expressly and <br /> specifically permitted under this License. <br /> 4. The following special conditions apply to the License: <br /> 4.1.
