THIS INDENTURE,Made this 1st day of February, 2018, between Old
Town Mine LLC (referred to herein as "Old Town")and Venture Resources
Inc. (referred to herein as "Venture"),
VVITNESSETH; that Old Town for and in consideration of the rents,
covenants and agreements hereinafter expressed to be paid, kept and
performed by Venture,has let and demised, and by these presents do lease,
let and demise unto Venture all of the rights to mine,remove, and sell low
grade gold ore fiom the dumps that are on the surface,this lease excludes
all surface rights except temporary access as may be needed to perform the
work permitted under this mining lease and all underground rights, from
the Old Town Mining claim MS# 857 in the Central City Mining District, in
Gilpin County in the State of Colorado.
TO HAVE AND TO HOLD THE SAME, for the purpose of mining,
for a term of 5 years from the date hereon unless sooner terminated under
any of the provisions herein contained. Venture agrees to pay an annual
rental of$1,000.00 per year, staring in the year 2019 and to restore the land
in compliance with the requirements of the DRMS. The term of the lease
will continue so long thereafter as there is continuous mining and a
minimum royalty of$1,000.00 per year is being paid. Venture also agrees to
pay a 5%royalty as described in the attached Exhibit"A".
Venture, for and in consideration of the leasing of said premises,
covenants and agrees with Old Town to commence work on said premises
on or before October 30, 2019 and thereafter to work the same continuously,
in a thorough and workmanlike manner_ Venture will remove the dumps
from the properties and reclaim the surface in a satisfactory manner and to
render statements to Old Town, showing the amount and character of work
done.
It is expressly understood and agreed by and between the parties
hereto, Old Town Mine LLC reserves the property and right of property in
