State of Colorado <br /> Department of Natural Resources <br /> BOARD OF LAND COMMISSIONERS <br /> PLACER MINING LEASE NO. 111734 <br /> THIS MINING LEASE (the "Lease:), is made in duplicate and entered into this 15th day of <br /> June, 2018, by and between the State of Colorado, acting through its STATE BOARD OF LAND <br /> COMMISSIONERS, ("Lessor"), and Titan Au Inc. 428 N. 2"d Street LaSalle CO 80645 ("Lessee"): <br /> WHEREAS, the State Board of Land Commissioners and City of Aurora have jointly solicited offers to <br /> select a gold exploration and mining company to responsibly and effectively develop gold and <br /> associated mineral resources owned by the respective entities in Lake County, Colorado, and; <br /> WHEREAS, Lessee has been selected by the Lessor and the City of Aurora for separate but related <br /> leases based on the Lessee's ability to meet the requirements outlined by both entities in the <br /> Solicitation of Offers, and; <br /> WHEREAS, Lessee wilt execute a similar tease agreement with the City of Aurora, and; <br /> WHEREAS, Lessee understands that the Lessor and the City of Aurora require a Mining Operations and <br /> Reclamation Plan that will result in the logical and orderly development of mineral resources <br /> included in this Lease and a similar tease with the City of Aurora; <br /> NOW THEREFORE, It is ordered that the above-numbered lease is hereby issued as captioned below <br /> and shall be effective on June 15, 2018 (the "Effective Date"); <br /> 1. LEASE, RENTAL, FEES -- Lessor, for and in consideration of the sum of 7 114.36, receipt of which is <br /> hereby acknowledged as payment of the filing fee in the amount of $ 0.00 , first year's rent in the <br /> amount of $ 927.96 , and a bonus in the amount of $ 6,186.40 , and in further consideration of <br /> Lessee's agreement to pay three and no/100 Dollars ( $ 3.00 ) per acre annually as rental in <br /> advance of the anniversary date of this Lease so tong as said lease shall remain in effect; and in further <br /> consideration of the terms, conditions and agreements herein and of the payments of annual rentals <br /> and royalties reserved herein, to be kept and performed by Lessee, its successors and assigns, does <br /> hereby lease to Lessee the right and privilege of exploring and prospecting for, developing, and mining <br /> of and taking of alluvial gold, other alluvial minerals and sand Et gravel from the Leased Premises <br /> herein described, situated in the County of Lake , State of Colorado: <br /> 2. LEASED PREMISES <br /> ACRES SUBDIVISION SEC.TWP.RGE.
