<br />ASSIGNMENT
<br />THIS ASSIGNMENT is made and entered into this 3 Ap
<br />day of August, 1994, by and between RESERVE COAL PROPERTIES
<br />COMPANY, a Delaware corporation having its principal office at
<br />1800 Washington Road, Pittsburgh, Pennsylvania 15241
<br />("Assignor"), and COLOWYO COAL COMPANY L.P., a Delaware limited
<br />partnership having its principal office at 5731 State Highway 13,
<br />Meeker, Colorado 81641 ("Assignee").
<br />WITNESSETH
<br />WHEREAS, Assignor is the owner and holder of a certain
<br />coal lease situated in the State of Colorado and described as
<br />follows; .
<br />A. Coal Mining Lease (the "Lease") dated September 18,
<br />1970, between Dorothy Card James and Raymond H. James, as
<br />Lessors, and Ember Mining Co. ("Ember"), as Lessee, covering the
<br />following described tracts of land located in Moffat and Rio
<br />Blanco Counties, Colorado:
<br />Parcel No. 1 -- Tract No. 42 of the Resurvey
<br />approved June 24, 1908, in Sections 11 and 12,
<br />Township 3 North, Range 93 West, 6th Principal
<br />Meridian, in the'County of Moffat, State of
<br />Colorado;
<br />Parcel No. 2 -- Tract Nos. 43 and 44 of the
<br />Resurvey approved June 24, 1908, in Sections 11,
<br />14 and 15, Township 3 North, Range 93 West, 6th
<br />Principal Meridian, in the County of Moffat, State
<br />of Colorado;
<br />Parcel No. 3 -- Tract Nos. 45, 46 and 48 of the
<br />Resurvey approved June 24, 1908, in Sections 20,
<br />21, 22, 27, 28 and 29, Township 3 North, Range 93
<br />West, 6th Principal Meridian, in the County of Rio
<br />Blanco, State of Colorado;
<br />containing 1000.08 acres, more or less. The land
<br />covered by Parcel Nos. 1 and 2 contains 520.25
<br />acres, more or less, and shall be referred to
<br />herein as the "Assigned Portion of the Lease."
<br />B. The Lease was recorded in the records of the Moffat
<br />County Clerk and Recorder on October 20, 1970, in Book 367 at
<br />Page 720 and also in the records of the Clerk and Recorder of Rio
<br />Blanco County on October 19, 1970, in Book 307 at Page 508.
