Draft <br /> AigawSeptimober 15,2008 <br /> NON-INTERFERENCE AGREEMENT <br /> This Non-Interference Agreement(this"Agreement"),dated __,2008,is <br /> by and between Pioneer Natural Resources USA,Inc.(`Pioneer")and Robinson Sons,Inc. <br /> ("Operator"). Each of Pioneer and Operator are referred to from time to time herein individually <br /> as a"Party"and collectively,as the"Parties." <br /> Recitals <br /> A. Operator is applying for a permit for a gravel pit to be designated the Robinson Sons <br /> Gravel Pit#1(the"Gravel Pit")in Las Animas County,Colorado in the area within the thick red <br /> line on the map set forth as Exhibit"A"attached hereto. <br /> B. Pioneer operates oil and gas wells and associated facilities in the area of the Gravel <br /> Pit. <br /> C. Rule 6.4.19 of the Mineral Rules and Regulations of the Colorado Mined Land <br /> Reclamation Board for the Extraction of Construction Materials(the"MLRB")requires an <br /> agreement regarding compensation for damages when a mining operation will adversely affect <br /> the stability of man-made structures located within 200 feet of the affected land. <br /> D. This Agreement is entered into in satisfaction of the requirements of the above <br /> referenced rule. <br /> Aereement <br /> In consideration of the mutual promises set forth herein and other good and valuable <br /> consideration,the receipt and sufficiency of which are hereby acknowledged,the Parties agree as <br /> follows: <br /> 1. For so long as this Agreement is in effect and Operator is not in material breach <br /> hereof,Pioneer consents to normal gravel mining activities within the permit boundary line as <br /> depicted on Exhibit A hereto. <br /> 2. Operator agrees to the following restriction.,on its and its contractors', <br /> subcontractors'and agents'activities in the S/2 of Section 26,Township 33 South,Range 67 <br /> West,6'b P.M.,Las Animas County,Colorado(the"Area of Interest"): <br /> (a) No operations shall be cone within 30 feet of any water or natural <br /> gas Oggline or buried electric line and any operations hear such lines shall be conducted in <br /> accordance with Exhibit"B"bereto.
