Locations <br /> Dear All: <br /> This letter is to advise as to recent changes in the corporate structure of Lafarge West, Inc. and the <br /> relationship of Lafarge West, Inc. to Aggregate Industries—WCR, Inc. <br /> In 2015, Lafarge West Inc.'s ultimate parent company, Lafarge S.A., merged with Holcim Ltd., <br /> creating LafargeHolcim Ltd. Prior to the merger, Holcim Ltd. was the ultimate parent company of <br /> Aggregate Industries — WCR, Inc. ("AI-WCR"). As such, upon the creation of LafargeHolcim, <br /> Lafarge West, Inc. and AI-WCR were related entities, both being part of the LafargeHolcim group of <br /> companies. <br /> Thereafter, in 2017, LafargeHolcim reorganized many of its U.S. subsidiaries. As part of that <br /> reorganization, on December 31st, 2017, Lafarge West, Inc. was converted into a limited liability <br /> company named Lafarge West, LLC. Lafarge West LLC, was then merged into Aggregate <br /> Industries Management, Inc. ("AIM"). AIM is also a United States subsidiary of LafargeHolcim and <br /> was a related entity to Lafarge West LLC. As a result of this merger, Lafarge West LLC ceased to <br /> exist and its assets were transferred to AIM. Documentation filed with the State of Delaware related <br /> to both the conversion and merger are attached to this letter. <br /> Lafarge West, converted To: Lafarge West, Merged Into: ` Aggregate <br /> Inc. LLC. Industries <br /> Management, <br /> Inc. <br /> Aggregate Industries —WCR, Inc. remains a part of the LafargeHolcim group of companies and has <br /> its principle locations in the state of Colorado, where it operates aggregate quarries, ready-mix <br /> concrete facilities, and asphalt and contracting operations. AI-WCR is a direct subsidiary of AIM, <br /> which also remains a member of the LafargeHolcim group of companies. As AI-WCR is AIM's <br /> subsidiary operating in the State of Colorado, oversight of all remaining Lafarge West, Inc. <br /> reclamation obligations are now overseen by AI-WCR. <br />
