3. Rights and Obligations of the Countv. <br />A. Insurance. <br />i. The County shall carry comprehensive public liability insurance <br />covering the County's operations on the Premises, with liability limits of at least <br />one million dollars ($1.000,000). <br />ii. Owner shall carry comprehensive general liability insurance <br />covering its own activities and landowner's liability with respect to the Premises, <br />with liability limits of at least one million dollars ($1,000,000). <br />4. Riahts and Obligations of Grantor <br />A. Property Taxes. Grantor shall pay all taxes assessed or that may be <br />assessed against the Premises promptly and before they become delinquent, including but <br />not limited to real property taxes and severance taxes. <br />5. Hold Harmless. <br />A. County. The County acknowledges and agrees, to the extent permitted by <br />law, that Grantor shall be held harmless for any liability related to the activities of the <br />County or its contractors or agents on the Property. <br />B. Grantor. Once this Agreement is terminated, Grantor shall hold the <br />County harmless for any work done on the Property, performed by Grantor, and Grantor <br />shall be solely responsible for any maintenance or repair on the Property and Grantor <br />shall assume all Iiability for the Property. <br />G. Warranty. Grantor warrants that they have the full right and legal authority to <br />make the grant of this Agreement. <br />Termination. The Parties may terminate this Agreement as follows: <br />A. The County may terminate this Agreement with thirty (30) days notice to <br />Grantor. <br />B. The Grantor may terminate this Agreement upon a material default by the <br />County of the terms of this Agreement; provided that Grantor shall provide the County <br />thirty days notice of the material breach. The County shall not be in default if the County <br />commences to cure the material breach within the 30 -day period and thereafter diligently <br />pursues the cure. <br />8. Bindine Effect. Each and every one of the benefits and burdens of this <br />Agreement shall inure to and be binding upon the respective legal representatives, heirs. <br />successors and assigns of the parties hereto, unless the Agreement is terminated as provided <br />herein. <br />
