Parkerson and its owners, representatives, members, officers, employees and agents as additional <br />insureds until the later of (i) six (b) months following the expiration/termination of this Lease, and <br />ii) until property Reclamation is complete. <br />(b) The insurance policy(ies) in this Section shall be by companies maintaining <br />a "General Policyholders Rating" of at least A-, VII, as set forth in the most current issue of "Best's <br />Insurance Guide." All policies shall contain a waiver of subrogation by the insurance carrier with <br />respect to the additional insureds. Each policy of liability insurance provided hereunder shall <br />contain severability of interest and cross -liability clauses. Kilgore shall also deliver to Parkerson <br />copies of the policies of insurance. Each certificate of insurance shall provide that such policy <br />shall not be subject to cancellation or nonrenewal without thirty (30) days prior written notice <br />delivered to Parkerson. Parkerson will not be responsible for any costs of premiums or other <br />charges for any insurance, endorsements or certificates required hereunder. If any policy is <br />canceled before the applicable statute of limitations expires pertaining to Kilgore's occupancy of <br />the Properties and Kilgore fails to obtain immediately replacement insurance, Parkerson reserves <br />the right to obtain such insurance and Kilgore hereby agrees to reimburse Parkerson for such cost <br />of insurance within fifteen (15) business days of Parkerson's delivery of an invoice. Nothing <br />contained in these insurance requirements is to be construed as limiting the type, quality, or <br />quantity of insurance Kilgore shall maintain or the extent of Kilgore's responsibility or liability <br />under this Lease. <br />(c) Kilgore agrees that it shall require all independent contractors, contractors <br />and subcontractors who perform work in connection with the Properties to have similar insurance <br />in full force and effect. <br />15. Weight and Measure. Kilgore shall accurately weigh, using bucket scales and/or <br />certified drive -on scales, any and all Sand and Gravel removed from the Properties. Kilgore <br />represents and warrants that any and all weight and measurement processes used are accurate, <br />reliable, certified/approved, and comply with the highest of industry standards for the Sand and <br />Gravel being weighed/measured. The weighed material will provided the basis for the Production <br />Royalty owed to Parkerson. <br />16. Indemnification. <br />(a) Of Parkerson. To the fullest extent permitted by law, Kilgore shall <br />indemnify, defend, and hold harmless Parkerson and its parents, affiliates, owners, partners, <br />directors, officers, employees, and managing agents, authorized agents, representatives, insurers, <br />successors and assigns (collectively, the "Parkerson Indemnified Parties") from and against any <br />and all liabilities, claims, demands, causes of action, settlements, administrative orders, judgments, <br />damages, costs and expenses, including, but not limited to, reasonable attorney's fees and costs <br />(collectively "Claims"), including Claims regarding personal injury, death, or property damage, <br />sustained or alleged to have been sustained by Kilgore or any entity or person, including employees <br />of subcontractors, and regardless of the merit of such Claims, arising from or in connection with: <br />(i) the use and/or occupancy of the Properties by Kilgore, its agents, <br />servants, employees, invitees, or independent contractors; <br />C:IATTYILIVIParBr0\A & GWilgorelMWti-Pit Alining Lease Agm-7-12-17-olean.docx Page 8 of 18 <br />
