(iii)that the EPA has sent a copy of such Objection Notice to the Grantor <br /> and the date on which such copy was sent; and <br /> (iv)the portion of the payment requested in the Claim Certificate, if any, <br /> which is not objected to by the EPA. <br /> (d) If the Trustee receives a Claim Certificate and does not receive an Objection <br /> Notice from the EPA within the time period specified in Section 4(c) above, the Trustee shall, <br /> within 10 days after the expiration of such time period, make the payment from the Fund <br /> requested in such Claim Certificate. <br /> (e) If the Trustee receives a Claim Certificate and also receives an Objection <br /> Notice from the EPA within the time period specified in Section 4(c) above, but which Objection <br /> Notice objects to only a portion of the requested payment, the Trustee shall, within 10 days after <br /> the expiration of such time period, make payment from the Fund of the uncontested amount as <br /> requested in the Claim Certificate. The Trustee shall not make any payment from the Fund, <br /> pursuant to a Claim Certificate to which EPA has submitted an Objection Notice, for the portion <br /> of the requested payment to which the EPA has objected in its Objection Notice until Trustee <br /> receives joint notice from EPA and the Grantor that the dispute has been resolved, following <br /> which, Trustee shall make such payment within 10 days. <br /> (f) If the Trustee receives a Claim Certificate and also receives an Objection <br /> Notice from the EPA within the time period specified in Section 4(c) above, which Objection <br /> Notice objects to all of the requested payment, the Trustee shall not make any payment from the <br /> Fund for amounts requested in such Claim Certificate until Trustee receives joint notice from <br /> EPA and the Grantor that the dispute has been resolved, following which, Trustee shall make <br /> such payment within 10 days. <br /> (g) If, at any time during the term of this Agreement,the EPA implements a <br /> "Work Takeover"pursuant to the terms of the Settlement and intends to direct payment of <br /> monies from the Fund to pay for performance of Work during the period of the Work Takeover, <br /> the EPA shall notify the Trustee in writing of EPA's commencement of the Work Takeover. <br /> Upon receiving written notice from the EPA, the disbursement procedures set forth in Sections <br /> 4(a)-(f) above shall immediately be suspended for costs of Work taken over by the EPA, and the <br /> Trustee shall thereafter make payments from the Fund only to such person(s)as the EPA may <br /> direct in writing from time to time for the sole purpose of providing payment for performance of <br /> Work required by the Settlement. Further, after receiving such written notice from the EPA, the <br /> Trustee shall not make any disbursements to the Grantor for costs of Work taken over by the <br /> EPA from the Fund at the request of the Grantor, including its representatives and/or contractors, <br /> or of any other person except at the express written direction of the EPA. If the EPA ceases such <br /> a Work Takeover in accordance with the terms of the Settlement,the EPA shall,within 10 days, <br /> notify the Trustee in writing and, upon the Trustee's receipt of such notice, the disbursement <br /> procedures specified in Sections 4(a)-(f) above shall immediately be reinstated. <br /> (h) In the event that EPA certifies all Phase 1 Work as complete in accordance <br /> with Paragraph 109 of the Settlement and Grantor's obligation to EPA for Phase 2 Work is <br /> 5 <br />
