Box 471, Boulder, Colorado 80306 {"Grantor") , and Gold Hill <br /> Mines, Inc. , a Colorado corporation, whose address is P.O. Box <br /> 1523, Longmont, CO 80502 ("GRANTEE") . <br /> GRANTOR, for and in consideration o'I the sum of One Hundred <br /> and no/00 DOLLARS ($100.00) paid by the GRANTEE to the GRANTOR, the <br /> receipt and sufficiency of which is hereby acknowledged, has <br /> granted, bargained, sold and conveyed, and by this Water Pipeline <br /> Easement Deed does grant, bargain, sell, convey and confirm to the <br /> GRANTEE, its successors and assigns forever, a permanent non- <br /> exclusive easement on and under the property described on Exhibit <br /> A attached hereto and incorporated herein by this reference, <br /> located in Boulder County, Colorado ("Property") ; for the purposes <br /> of : <br /> Access to and to maintain, repair and improve the existing <br /> water pipeline along Lick Skillet Road for the purpose of <br /> supplying water from Left Hand Creek to the Gold Hill Mill for <br /> 141NINd AND° PROCESSING ORE. <br /> During the term of this Water Pipeline Easement GRANTOR shall <br /> not place, erect, install or permit any above or below ground <br /> building, structure or other obstruction on the Property that may <br /> interfere with the GRANTEE' s activities on the Property hereunder. <br /> Prior to undertaking any improvement of the pipeline, Grantee <br /> shall submit plans to Grantor for approval, which approval shall <br /> not be unreasonably withheld. The plans shall identify the <br /> improvements with specificity and shall also contain provisions for <br /> reclamation of the surface of the property to substantially the <br /> same condition in which the property existed prior to Grantee's <br /> work or in better condition. Grantee also agrees to use best <br /> efforts to avoid interfering with public use of County trails and <br /> shall reclaim all trails to County standards. <br /> AFFIDAVIT - EXHIBIT A <br />
