constitute one and the same document. The signature of any party to any counterpart shall be <br /> deemed a signature to, and may be appended to, any other counterpart. <br /> 9.12. Estoppel Certificate. Each Member shall, within ten (10) days after written request <br /> by any Member or the General Manager, deliver to the requesting Person a certificate stating, to <br /> the Member's knowledge, that: (a) this Agreement is in full force and effect; (b) this Agreement <br /> has not been modified except by any instrument or instruments identified in the certificate; and <br /> (c) there is no default hereunder by the requesting Person, or if there is a default, the nature and <br /> extent thereof.
