RECEIVED VKJaYv c?w wo28 ZG17 ,_j Reclamation, STRUCTURE AGREEMENT &Safety This Structure Agreement is entered into between the ALSH, LLC, a Colorado limited liability company and Sooner Lucky Strike Mine Ltd., a Colorado corporation (collectively, "Owner") as the owners of the land and structures on or within two hundred (200) feet of a permitted mine site and Fossil Creek Mines, LLC, a Wyoming limited liability company("Operator"). The mine site is known as the Lucky Strike Mine and Mill, which operates under DRMS permit no. M-1982-020. The permitted area consists of 8.0 acres of patented claim land, which contains upon its surface numerous structures and improvements. The Owner of the permitted area owns all surface improvements on the permitted area, and the lands and structures within 200 feet of the permitted area. The significant surface improvements on the permitted area include: metal buildings containing milling facilities, diesel fuel and chemical storage,materials and supplies storage, a shaft to access the underground mine workings,metal headframe and hoist, mill containment facilities, tailings ponds, and lined mine dewatering pond. Structures on and within 200 feet of the permitted area include: dirt roads, fences, and earthen drainage conveyance structures. The Owner allows the Operator to access and utilize the site and its facilities according to approved plans in the DRMS reclamation permit, and as set forth in the current Right-of- Entry Agreement and current Access Agreement. Operator will do so at its own cost and expense and will make all necessary improvements at its own cost and expense. In the event of any damage to the structures arising out of or relating to the use of the site by Operator or its agents, Operator shall pay to Owner compensation for such damages. Notwithstanding the foregoing, however, the parties agree that given the current value of the structures and the various improvements to the site being made by Operator without charge to Owner, the maximum compensation that may be owed by Operator for damage or destruction of the structures shall not exceed$5,000. The Operator agrees to exercise reasonable care in the use and maintenance of the permitted land and facilities. ' Effective this itday of August, 2017.
