Rialm is the owner of certain real property located in Huerfano County. Colorado, <br /> and described in the attached Exhibit A("Sheep )Mountain Property"). <br /> B. The District is a Colorado water conservancy district formed and existing under <br /> the laws of the State of Colorado. <br /> C. The District is developing a regional plan for augmentation for the replacement of <br /> out-of-priority depletions to the Huerfano River in Huerfano County, including storage facilities <br /> for use iri connection with its pending changes of water rights, exchanges. and plan for <br /> augmentation (collectively"Augmentation. Plan"). <br /> D. The District wishes to construct a reservoir ("Reservoir") on a portion of the <br /> Sheep Mountain Property for use in connection with its Augmentation flan, including a pump <br /> station and water transmission pipelines for diversion of the District's water rights frorn the <br /> I Iuert-ano River to storage in and release from the Reservoir back to the lluerfano River('"Water <br /> l"ransinission Pipelines") <br /> I-. Rialtn is vvilling to grant easements over and through a portion of the Sheep <br /> MOUntain Property for the construction, maintenance, operation, repair, and use of the Reservoir, <br /> pump station #rorn the Huerfano River, and Water Transmissions Pipelines, and the District is <br /> desirous of obtaining sLich casement rights, all pursuant to the terms and provisions of this <br /> Agreement. <br /> 1'. Sheep Mountain Ranch LLC, is a Colorado Limited Liability Company, whose; <br /> address is 292(? ,�mby Place, Hermosa Beach CA �t?254 ("Sheep ' lotintain' ). Sheep 'Mountain <br /> is wholly owned by Rialm and operates the Sheep Mountain Property on behalf of Rialm.
