<br /> THIS DEED, Made this 0P4_'day of 1 , 2011, between Lafarge West,
<br /> Inc., a Delaware corporation, whose legal address is 10170 Church Ranch Way, Suite 200,
<br /> Westminster, Colorado 80021 ("Grantor"), and Martin Marietta Materials, Inc., a North Carolina
<br /> corporation, whose legal address is 2710 Wycliff Road, Raleigh, North Carolina 27607
<br /> ("Grantee"):
<br /> WITNESSETH, That Grantor, for and in consideration of the sum of TEN DOLLARS
<br /> ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are
<br /> hereby acknowledged, has granted, bargained, sold and conveyed, and by these presents does
<br /> grant, bargain, sell, convey and confirm, unto Grantee, its successors and assigns forever, all the
<br /> real property, together with improvements, if any, situate, lying and being in the County of Weld,
<br /> State of Colorado, described as follows:

<br /> Together with Grantor's interest in all buildings, structures and other improvements, all

<br /> gravel, clay and any other mineral on the Property and all water rights arising from ownership of
<br /> the Property.
<br /> TO HAVE AND TO HOLD the said premises above bargained and described with the
<br /> appurtenances, unto Grantee, its heirs, successors and assigns forever. This conveyance is made
<br /> subject to the matters set forth on Exhibit B attached hereto (the "Permitted Title Exceptions").
<br /> Grantor, for itself, its successors and assigns does covenant and agree that it shall and will
<br /> WARRANT AND FOREVER DEFEND the above-bargained premises in the quiet and
<br /> peaceable possession of Grantee, its heirs, successors and assigns, against all and every person or
<br /> persons claiming the whole or any part thereof, by, through or under Grantor, but not otherwise,
<br /> except as to the Permitted Title Exceptions.
