<br /> THIS ASSIGNMENT AND BILL OF SALE ("Assignment") is made this 7th day of y Safety
<br /> October, 2016, and is effective at 7:00 a.m., October 1, 2016 (the "Effective Time"), by and
<br /> between Calx Minerals, LLC, a Colorado limited liability company-(herein "Assignor"), and
<br /> RMR Aggregates,Inc., a Colorado corporation(herein"Assignee").
<br /> Assignor in consideration of Ten Dollars ($10.00) and other good and valuable
<br /> consideration, the receipt and sufficiency of which are hereby acknowledged, does hereby
<br /> GRANT, SELL,CONVEY,ASSIGN, and DELIVER unto Assignee all the following:
<br /> A. All right, title, and interest of Assignor in and to the U.S Department of the Interior,
<br /> Bureau of Land Management authorized and managed unpatented and locatable mining
<br /> claims (the "Mining Claims") described on Exhibit"A"(attached hereto and made a part
<br /> hereof for all purposes), insofar as the Mining Claims cover lands which are specifically
<br /> described in Exhibit"A"; and
<br /> B. All right, title, and interest of Assignor in, to and under, or derived from, all presently
<br /> existing and valid mineral unitization, pooling, operating and/or communitization
<br /> agreements, declarations and orders, and in and to the properties covered and the units
<br /> created thereby,which are appurtenant to the Mining Claims; and
<br /> C. All right, title, and interest of Assignor in and to all leasehold interests, quarrys,
<br /> equipment, fixtures and personal property located on the lands described on Exhibit"A',
<br /> if any,which are appurtenant to the Mining Claims.
<br /> All of the foregoing properties, real, personal, or mixed (contractual or otherwise) described
<br /> in paragraphs A through C, above are herein called the "Properties" located in Garfield County,
<br /> Colorado.
<br /> TO HAVE AND TO HOLD the Properties forever, subject to the following terms and
<br /> conditions:
<br /> 1. WARRANTIES: ASSIGNOR REPRESENTS AND WARRANTS THAT IT IS THE
<br /> OWNER OF THE MINING CLAIMS AND ONE HUNDRED PERCENT (100.000/.) OF
<br /> THE ROYALTY INTEREST ASSOCIATED WITH THE MINING CLAIMS.
<br /> 2. MINING CLAIMS AND OTHER CONTRACTS AND AGREEMENTS: This Assignment
<br /> is made by Assignor and accepted by Assignee subject to all terms, covenants,and conditions
<br /> of the Mining Claims described in Exhibit"A".
<br /> 3. OBSERVANCE OF LAWS: This Agreement is subject to all applicable laws, ordinances,
<br /> rules,and regulations affecting the Properties.
