At all times provide a Contractor Design-Build Project Manager, Approved by the <br /> County, who: (i)will have full responsibility for the prosecution of the Work; (ii) will act <br /> as agent and be a single point of contact in all matters on behalf of the Contractor; <br /> (iii)will be present(or his Approved designee will be present) at the Site at all times that <br /> Work is performed; and (iv)will have authority to bind the Contractor on all matters <br /> relating to the Project. <br /> 3. Provide a Key Personnel who is a registered licensed professional engineer in the State of <br /> Colorado who is in responsible charge of the construction Work. <br /> 4. Obtain all Governmental Approvals (other than Approvals agreed to be obtained by the <br /> County), and specifically including any Governmental Approvals required to implement <br /> any Approved ATCs, and Additional Requested Elements (AREs) incorporated into the <br /> Contract Documents. <br /> 5. In addition to the ATCs, comply with all ATC Conditions specified by the County in its <br /> Approval. <br /> 6. Comply with all conditions imposed by and undertake all actions required by and all <br /> actions necessary to maintain in full force and effect, all Governmental Approvals, <br /> including implementation of all environmental mitigation measures required by the <br /> Contract Documents, except to the extent that such responsibility is expressly assigned in <br /> the Contract Documents to another Person. <br /> 7. Provide such assistance as is reasonably requested by the County in dealing with any <br /> Person and/or in prosecuting and defending lawsuits in any and all matters relating to the <br /> Project, which may include providing information and reports regarding the Project, <br /> executing declarations and attending meetings and hearings, but which shall in no event <br /> be deemed to require the Contractor to provide legal services. <br /> 8. Comply with all requirements of all applicable Legal Requirements, including: (i)the <br /> Environmental Laws, including all environmental mitigation and monitoring measures <br /> required for the Project, including those set forth in Book 2, Section 5, and requirements <br /> regarding the handling, generation, treatment, storage, transportation and disposal of <br /> Hazardous Substances; and(ii) the Americans with Disabilities Act of 1990 (ADA), 42 <br /> U.S.C. § 12101 et seq., including any amendments, as well as all applicable regulations <br /> and guidelines. <br /> 9. Cooperate with the County and Governmental Persons with jurisdiction over the Project <br /> in the review and oversight of the Project and other matters relating to the Work. <br /> 10. Pay third parties as required by the Contract Documents, including but not limited to, <br /> payments to Utility Owners, hydrocarbon pipeline owners, irrigation facility owners, or <br /> Railroad companies, if any. <br /> 11. Supervise and be responsible to the County for acts and omissions of all Contractor- <br /> Related Entities, as though the Contractor directly employed all such Persons. <br /> 12. Mitigate delay to the Project and mitigate damages due to delay in all circumstances, to <br /> the extent possible, including by resequencing, reallocating or redeploying the <br /> Contractor's forces to other elements of the Project or to other work, as appropriate. <br /> 17 <br />
