The top of the AVS chart simply shows detailed ownership and control information for Cedars Energy, LLC. The discrepancy between the two charts can be summarized by the following question. Is Cedars Energy, LLC the parent company or are the member companies that own and control Cedars Energy, LLC the parent group? BRL believes Cedars Energy, LLC is the parent company. The individuals and companies that own and control Cedars Energy, LLC can change and should be able to change. It is instructive to see how AVS handles the other companies. The AVS chart does not list the officers of any company except for Cedars Energy, LLC. The Purchase Agreement provided with the original minor revision application shows Cedars Energy, LLC was sold to Halas Energy, LLC. Cedars Energy, LLC is still a parent company, it is just owned and controlled by difference companies or individuals. In the current case, Cedars Energy, LLC is controlled by Halas Energy, LLC. Halas Energy, LLC is owned and controlled by John J. Siegel, III since he is the manager and sole member of Halas Energy, LLC. Rickmeier Partners L.P. is owned by the trusts of Mark G. Rickmeier and Gillian L Rickmeier each with 49.5%. Since Steve Rickmeier is the general partner and has authority over Rickmeier Partners L.P., he ended Rickmeier Partners membership interest in Cedars Energy, LLC through the purchase agreement referenced above. Likewise, Rickmeier Advisors, Inc. ended its membership interest in Cedars Energy, LLC by the authority of Steve Rickmeier, its President, through the purchase agreement referenced above.
