PURCHASE AND SALE OF REAL PROPERTY <br />AGREEMENT <br />THIS AGREEMENT for the Purchase and Sale of Real property and improvements, is between <br />FREMONT PAVING & REDI-MIX, INC, thereinafter referred to as "Purchaser'), and MARTIN VALADEZ <br />(hereinafter referred to as "Seller"), Purchaser and Seller may be referred to collectively herein as the <br />"Parties". This Agreement sets forth the negotiated and agreed to terms and conditions for the purchase <br />and sale of real property and improvements as more fully described below. The Parties intend by this <br />Agreement to fully state their Agreement as to conditions, easements, restrictions and limitations which <br />are created by this agreement and will survive the closing. In the event of a dispute regarding the Parties <br />agreement for the purchase and sale of the property, this Agreement shall control. <br />1. Title on Closinig <br />Purchaser shall take title to the real property in the name of Fremont Paving & Redi-Mix Inc. <br />2. Assipnability and Inurement. <br />This Agreement may be assigned by Purchaser to a related entity without Seller's prior consent. Except <br />as so restricted, this Contract may not be assigned or transferred, and shall inures to the benefit of and <br />is binding upon the heirs, personal representatives, successors of the Parties. <br />3. Seller's Title and Legal Description <br />Seller is the legal and record owner of the real property and improvements to be conveyed to Purchaser. <br />For the purposes of this Agreement the Property is described as Parcel A and Parcel B. A surveyed legal <br />description may be provided at or before closing by Purchaser, in its sole discretion. <br />Parcel A: <br />Pueblo County Assessor Parcel Numbers 1300000187, described as The West 20.00 acres of the South <br />780.00 feet of the North 2640 'feet of the Northwest Quarter of Section 35, Range 21 Township 63, plus <br />the strip of land, if any, laying between the South boundary of this TR plus the South boundary of the SD <br />Northwest Quarter of Formerly Assessor Parcel Number 13-000-00-179. <br />PARCEL B: <br />Pueblo County Assessor Parcel Number 1300000186 described as South 780 feet, north 2640 feet of <br />Northwest Quarter of Section 53, Range 21 Township 63, less PGR by WD #1551102 to MidAmerican <br />Credit Union, formerly Assessor parcel number 1300000179 together with the interests, easements, <br />rights, benefits, improvements and attached fixtures appurtenant thereto, and all interest of Seller in, <br />except as herein excluded herein. <br />CSiY <br />
