2. During all times that Fremont actively operates the gravel mining operation which is the subject <br />of its SUP request to Puebla County, it will maintain and repair the access and haul road it intends ti <br />improve and construct on the subject property. Said road shall be serviceable for a standard sedan <br />motor vehicle. Included in its maintenance and repair obligations is the obligation to provide dust <br />control on said access road as may be required by permit or regulation. <br />3. Depending on whether Purchaser elects to purchase Parcel 1300000.88, or not, whichever <br />party obtains or maintains ownership of said Parcel after closing of this Agreement, shall grant to the <br />other an ingress and egress an unrestricted 60' easement across said Parcel, which easement shall <br />follow the access/haul road Purchaser may construct; and if not, an agreed on £0' easement which the <br />parties shall locate and identify. The Parties agree they shall create a written easement document for <br />recording reflecting the existence of this easement, acid shall record said easement within one year of <br />the closing, if not sooner. <br />4. To the extent this Agreement requires the Parties cooperate after closing to create required <br />documentation to evidence their agreement to create easements and rights of way across the property <br />subject to this Agreement, they agree they shall cooperate. <br />AMENDMENTS AND MODIFICATIONS <br />This Agreement represents the final agreement of the Parties. To the extent at a later time they <br />mutually agree to amend or modify this Agreement, they shall only do so in writing as an attachment to <br />this Agreement, and shall evidence their mutual agreement to any changes by their signatures, as <br />affixed below. Oral and verbal agreements shall not be enforceable. <br />CONTRACT PREPARATION <br />This contract was prepared by Ranson & Kane, P.C. representing Fremont Paving & Red! -Mix, Inc. and <br />based on negotiations and agreements reached by the named parties dealing with each other directly <br />and not through legal counsel.
