The <br />Debtors and the Lender Professional Fee Notice Parties shall have 7 days after receipt of the <br />applicable invoice to submit (to the applicable professional, the Debtors and the Lender <br />Professional Fee Notice Parties) a written objection to the reasonableness of such Lender <br />Professional Fees, which must contain a specific basis for the objection and quantification of <br />the undisputed amount of the fees and expenses invoiced, and failure to object with specificity <br />or to quantify the undisputed amount of the invoice subject to such objection will constitute a <br />waiver of any objection to such invoice. None of the Lender Professional Fees shall be subject <br />to Court approval or required to be maintained in accordance with the U.S. Trustee Guidelines, <br />and no recipient of any payment on account thereof shall be required to file with respect <br />thereto any interim or final fee application with the Court. Payment of Lender Professional <br />Fees shall not be delayed based on any objections thereto, and the relevant professional shall <br />only be required to disgorge amounts objected to upon being "so ordered" pursuant to a final <br />non -appealable order of this Court. <br />29. No Waiver Under the ICA. Subject to paragraph 9(d) hereof, nothing herein <br />shall be considered a waiver of any rights of any party under the ICA. <br />30. Bankruptcy Rule 6003. The requirements of Bankruptcy Rule 6003 are satisfied <br />by the contents of the Motion. <br />31. Waiver of Stay. Notwithstanding any Bankruptcy Rule (including, but not <br />limited to, Bankruptcy Rule 6004(h)) or Local Bankruptcy Rule that might otherwise delay the <br />effectiveness of this Interim Order, the terms and conditions of this Interim Order shall be <br />immediately effective and enforceable upon its entry <br />65 <br />
