Case 16-42529 Doc 108 Filed 04/14/16 Entered 04/14/16 17:28:56 Main Document <br />Pg 53 of 70 <br />applicable DIP Documents; (viii) an order in any of the Cases granting authority to obtain <br />financing under section 364 of the Bankruptcy Code (other than under the DIP Facilities or in the <br />ordinary course of the Borrower's and/or the Guarantors' businesses), unless such financing <br />would, and in fact does, repay in full in cash all DIP Obligations upon consummation thereof, or <br />(ix) an order in any of the Cases granting adequate protection to any other person (except to the <br />extent permitted by the DIP Credit Agreement). Notwithstanding the entry of any order <br />dismissing the Cases under section 1112 of the Bankruptcy Code or otherwise, such order shall <br />provide (in accordance with sections 105 and 349 of the Bankruptcy Code) that (i) the DIP <br />Superpriority Claims, DIP Liens, Adequate Protection Obligations, Adequate Protection Liens, <br />priming liens, security interests, replacement security interests and administrative claims granted <br />to the DIP Agent and the DIP Lenders and, as applicable, the Pre -Petition Secured Parties <br />pursuant to this Interim Order shall continue in full force and effect and shall maintain their <br />priorities as provided in this Interim Order until all DIP Obligations and Adequate Protection <br />Obligations shall have been paid and satisfied in full (and that such DIP Superpriority Claims, <br />DIP Liens, Adequate Protection Obligations, Adequate Protection Liens, priming liens, security <br />interests, replacement security interests and administrative claims, shall, notwithstanding such <br />dismissal, remain binding on all parties in interest) and (ii) this Court shall retain jurisdiction, <br />notwithstanding such dismissal, for the purposes of enforcing the claims, liens and security <br />interests referred to in clause (i) above. <br />(c) If any or all of the provisions of this Interim Order are hereafter reversed, <br />modified, vacated or stayed, such reversal, modification, vacation or stay shall not affect (i) the <br />validity of any DIP Obligations, the DIP Documents or Adequate Protection Obligations <br />incurred or the DIP Liens and Adequate Protections Liens granted prior to the actual receipt of <br />53 <br />
