Case 16-42529 Doc 215 Filed 04/20/16 Entered 04/20/16 11:31:44 Main Document <br />Pg2of7 <br />need be given; (v) it appearing that receiving and uploading proofs of claim in these cases would <br />be unduly time consuming and burdensome for the Clerk's Office; (vi) the Court being <br />authorized under 28 U.S.C. § 156(c) to utilize, at the Debtors' expense, outside agents and <br />facilities to provide notices to parties in title 11 cases and to receive, upload, photocopy and <br />transmit proofs of claim; (vii) the Court being satisfied that KCC does not hold an interest <br />adverse to the Debtors or their estates respecting the matters upon which it is to be engaged; (viii) <br />it appearing that the employment of KCC is in the best interests of the Debtors, their estates and <br />creditors; (ix) and the legal and factual bases set forth in the Application, the Gershbein <br />Declaration and the Engagement Agreement and at the Hearing, establish just cause for the relief <br />granted herein; <br />ORDERED that, notwithstanding the terms set forth in the Application and in the <br />Engagement Agreement, and pursuant to Section 105(a) of the Bankruptcy Code, <br />28 U.S.C. § 156(c) and Bankruptcy Rule 2002, the Application is GRANTED solely as set forth <br />in this Order, and: <br />The Debtors are authorized to retain and employ KCC as Claims and Noticing <br />Agent nunc pro tunc to the Petition Date under the terms and conditions set forth in the <br />Application and the Engagement Agreement only to the extent that the terms of the Application <br />and Engagement Agreement do not conflict with the terms of this Order. In the event of any <br />inconsistency between the Application, the Engagement Agreement, and this Order, this Order <br />shall govern. <br />2. KCC is authorized and directed to perform noticing, claims processing, <br />solicitation, and administrative services as set forth in this Order and any non -conflicting <br />provisions of the Application and the Engagement Agreement.
