Notwithstanding anything set forth in the Motion or this Interim Order, <br />including, without limitation, the authority granted to the Debtors to engage in postpetition <br />Intercompany Transactions pursuant to this Interim Order, nothing in this Interim Order shall <br />constitute a finding or determination regarding the validity of any prepetition intercompany <br />obligations between and among the PEC Entities, including, without limitation, whether such <br />claims should be recharacterized as equity contributions. Nothing in this Interim Order shall <br />constitute a waiver of any rights, claims or defenses with respect thereto, all of which are <br />specifically reserved hereby. <br />12. Any payment from a Bank Account at the request of the Debtors made by <br />any of the Banks prior to the Petition Date (including any ACH Transfer such Bank is or <br />becomes obligated to settle), or any instruments issued prior to the Petition Date by any of the <br />Banks on behalf of any Debtor pursuant to a "midnight deadline" or otherwise, shall be deemed <br />to be paid prepetition, whether or not actually debited from such Bank Account prepetition. <br />13. The Debtors are authorized to open additional bank accounts or to close <br />existing bank account as they deem necessary or appropriate and the Banks are authorized to <br />honor Debtors' requests to open or close such bank accounts. Any and all accounts opened by <br />the Debtors on or after the Petition Date at any Bank shall, for the purposes of this Interim Order, <br />be deemed a prepetition Bank Account (as if it had been opened prior to the Petition Date and <br />listed in the list attached to the Motion as Exhibit B), any and all Banks at which such accounts <br />are opened shall similarly be subject to the rights and obligations of this Interim Order. <br />14. Nothing contained herein shall prevent the Banks from modifying or <br />terminating any Bank Accounts or related services in accordance with the agreements governing <br />such accounts or services. <br />Fol <br />
